The agreement between Skidle and the businesses and people who use it.

1. Agreement

These Terms are a contract between you and Skidle, LLC ("Skidle", "we", "us"), whose mailing address is 809 W. Riordan Rd., Suite 100-490, Flagstaff, AZ 86001. They apply to the Skidle website and app (the "Service").

By accessing or using the Service in any way — including browsing the website, creating an account, or signing in with Google or Apple — you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of a business, you agree to these Terms for that business, and confirm you have authority to do so.

The Privacy Policy explains how we handle personal data.

2. What Skidle is

Skidle is software for organizing recurring work: checklists, forms, workflows, assignments, deadlines, and a record of who did what.

Skidle is a tool. It does not supervise anyone's work, check that a task was done correctly, or make a business compliant with any law, inspection, or standard. The business using it remains responsible for its own operations and obligations.

3. Early access

Skidle is currently invite-only. During early access, features may change, be added, or be removed, and the Service may have more interruptions than it will later.

4. Accounts

  • You must be 18 or older to use the Service. By creating an account you confirm that you are.
  • Give accurate information and keep it current.
  • Keep your password secure. You are responsible for activity under your login.
  • Tell us at support@skidle.com straight away if you think your account has been compromised.
  • One login is for one person. Do not share it.

5. Accounts, organizations, and members

  • An account is the paying customer. The billing owner of an account manages its plan and may create organizations under it.
  • An organization is a workspace. Its owners and admins decide who is a member and what each member can do.
  • The account and its owners and admins are responsible for the people they invite, for what those people do in the organization, and for having the right to enter any personal data about them.
  • Members may lose access if an owner or admin removes them or if the account ends.

6. Your content

"Your content" is everything you or your organization's members put into the Service: forms, workflows, answers, notes, files, and records.

  • You keep ownership of your content.
  • You give us permission to host, store, copy, process, and display your content only as needed to provide, secure, and support the Service.
  • You are responsible for your content and for having the right to use it.
  • Records in Skidle show what was entered, by whom, and when. They are not independent proof that work was done or done correctly.

7. Acceptable use

Do not:

  • break the law, or use the Service to help anyone else do so;
  • upload content that infringes others' rights, or that is harmful, abusive, or deceptive;
  • try to access accounts, organizations, or data that are not yours;
  • test, scan, or probe the Service for vulnerabilities without our written permission;
  • interfere with the Service, or overload it with automated requests;
  • copy, resell, or build a competing product from the Service;
  • send spam through invitations or any other feature.

We may suspend or remove access, or remove content, that breaks these rules.

8. Plans, payment, and cancellation

  • Paid plans are billed per account, in advance, monthly or yearly, through Stripe. Prices and plan limits are shown before you subscribe.
  • Plans include limits, such as how many organizations an account can have and how long records are kept.
  • A trial, where offered, ends on the date shown at sign-up. Continued use after a trial requires a paid plan.
  • You can cancel at any time. Cancellation takes effect at the end of the current billing period, and the plan stays active until then.
  • If you move to a plan that keeps records for less time, older records are deleted after a 30-day grace period. Contact support@skidle.com before then if you need a copy.
  • Fees are non-refundable except where the law requires otherwise.
  • Prices may change. We will give account holders at least 30 days' notice before a change applies to them.
  • If a payment fails, we may limit or suspend the account until it is paid.

9. Referral programme

Account holders may be able to refer others to Skidle for a credit or payout. Rewards, eligibility, and payout timing are shown in the referral settings and may change. Cash payouts are made through Stripe Connect and require a Stripe account. We may withhold rewards for referrals that are fraudulent or self-referrals.

10. Third-party services

The Service relies on third parties, including Amazon Web Services, Stripe, and Google or Apple if you sign in with them. Their own terms apply to your use of them. We are not responsible for services we do not control.

11. Availability and changes

We work to keep the Service available, but do not promise it will be uninterrupted or error-free. We may change, suspend, or discontinue features. If we discontinue the Service entirely, we will give account holders reasonable notice and help them get a copy of their content.

12. Ending the agreement

  • You can stop using the Service and ask us to delete your account at any time by emailing support@skidle.com.
  • We may suspend or end access if you break these Terms, fail to pay, or use the Service in a way that could harm us or others.
  • When an account ends, its content is deleted after a reasonable period, except where we must keep something by law.
  • Sections that by their nature should survive — including 6, 13, 14, 15, and 17 — survive the end of the agreement.

13. Disclaimers

The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the Service will meet any legal, regulatory, inspection, or insurance requirement.

14. Limitation of liability

To the extent the law allows:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
  • Our total liability for all claims relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.

Nothing in these Terms limits liability that cannot be limited by law.

15. Indemnity

You agree to indemnify us against claims by third parties arising from your content, your use of the Service, or your breach of these Terms, including claims by members of your organization.

16. Changes to these Terms

We may update these Terms. We will post the new version here with a new effective date, and notify account holders by email of significant changes before they take effect. Continuing to use the Service after that means you accept the new Terms.

17. Governing law and disputes

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law rules. Disputes will be resolved in the state courts located in Coconino County, Arizona, and you and Skidle consent to their jurisdiction. Before starting any formal claim, please contact support@skidle.com; most problems can be resolved directly.

18. General

  • These Terms and the Privacy Policy are the whole agreement between you and us about the Service.
  • If part of these Terms is unenforceable, the rest still applies.
  • Not enforcing a term is not a waiver of it.
  • You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition, or sale of assets.
